TP5 was open for investment from autumn 2008 until 30 June 2009 and raised over £18m.
In September 2009, TP5 merged with TP70 2009 after the resolutions proposing the merger were passed at General Meetings of shareholders in TP5 held on 15 September and of TP70 2009 held on 15 and 29 September. The merger was proposed by the boards of the two Companies in order to facilitate the efficient and effective construction of a portfolio of VCT qualifying holdings, but will also have the effect of reducing the overall operating costs borne by shareholders.
TP70 2009’s net assets were transferred to TP5 with effect on 30 September 2009 and shares in the new B class of TP5 issued to the former shareholders in TP70 2009.
The investment policies for TP5’s two share classes are outlined below.
Ordinary shares
A portfolio giving exposure to monetary assets, fixed interest securities and bonds: Initially 100% to be reduced to 30% by the end of the third year delivered through Goldman Sachs Asset Management managed and advised collective investment funds.
VCT qualifying investments focused on companies with contractual revenues derived from financially sound counterparties: Initially 0% rising to 70% by the end of the third year.
B Shares
A portfolio giving exposure to monetary assets, fixed interest securities and bonds: Initially 70% to be reduced to 0% by the end of the third year delivered through collective investment funds.
VCT qualifying investments focused on companies with contractual revenues derived from financially sound counterparties: Initially 0% rising to 70% by the end of the third year.
Exposure to GAM Diversity 2.5XL: Up to 30% throughout the life of the fund.
The Net Asset Value per ordinary share as at 30 June 2010 is 92.59p.
The Net Asset Value per B share as at 30 June 2010 is 89.15p.
